Capability of the First PartyWhereas The First Party has an Approved Budget for the Hiring of Said ConsultantsExperts for the Conduct of the Said Activities Which shall be Conducted in the Provinces Where They will be AssignedWhereas The Second Party Represented that He Possesses the Necessary Skills and Expertise on Product Development Non-Food Required for the Project and have been CreatingPreparing Product Design Concepts for Micro Small and Medium Enterprises Locally and Abroad and is Determined by the First Party to be a Legally Technically and Financially Capable ConsultantWhereas The Second Party has Signified His Intention To Which the First Party has Accepted To Provide the Services Needed by the Latter Whereas Both Parties shall Comply with the Governments Procurement Budgeting and Accounting Rules and RegulationsWhereas The Second Party Hereby Attest that He is not Related within the Third Degree of Consanguinity or Affinity to the 1 Hiring Authority Phase 1 InterviewB Phase 2 First DraftC Phase 3 Final DraftD Phase 4 Msmes PrototypingE Phase 5 Prototype Evaluation F Phase 6 RefinementsG Phase 7 Msmes Prototype PresentationSubmit to the First Party a Copy of Design Concepts Developed for Assisted Clients within September 7October 7 2021 Thirty Two 32 Days from Phase1 2 Shall Maintain a Bank Account with Land Bank of the Philippines for Advise to Debit Account Ada Payment System and3 Shall Maintain 2 Telecommunication Numbers Globe and Smart for Ease of CommunicationIii Other Conditions1 It is Understood that There Exists No Employer-Employee Relationship between the Parties to this Contract That the Services of the Second Party under this Contract shall not be Credited as Government Service And that He shall not be Entitled to the Benefits being Enjoyed by the Regular Personnel of the Department Such as Pera Aca And Rata Neither shall the Second Party be Entitled to Overtime Pay2 This Contract Provides the Second Party a Time Frame of 55 Accumulated Days to Facilitate the Completion of the Job that will Commence on September 7 2021_ and Ends on _october 31 2021 3 All Intellectual Properties Resulting from Dti-Funded Projects shall be Protected and Governed by Republic Act No 8293 Otherwise Known as the Intellectual Property Code of the Philippines As Amended by Republic Act No 10372 And its Irr As Applicable Design Outputs Other Works and Materials Derived by Virtue of this Contract shall be Owned by Dti upon Delivery and Acceptance Unless Otherwise Authorized by Law No Use or Exploitation in Any Manner Whether for Profit or Otherwise Of Any Original Derivative or Other Analogous Works Created in this Project shall be Made by the Second Party Including His Agents and Assigns Without the Prior Written Approval of First PartyIn Case There are Third-Party Claims of Infringement of Intellectual Property Rights The Second Party shall Hold the First Party Free and Harmless against Such Claims4 The Second Party has the Option to Request for Payment of Consultancy Fee Equivalent to 50 upon Completion of Phase 4 around _50__ of its Functions and Responsibilities Provided All Documentary Requirements for Said Payment are Submitted Completely to the First Party Subject to Applicable Laws and Government Accounting and Auditing Rules and Regulations5 Final Payment shall be Made only after the Final Prototype Presentation Approved as Satisfactory by the First PartyThe Services shall be Deemed Completed and Finally Accepted and Deemed Approved by the First Party as Satisfactory Ninety 90 Calendar Days after the Msmes Prototype Presentation Unless the First Party Within Such Ninety 90-Day Period Gives Written Notice to the Second Party Specifying in Detail the Deficiencies in the Services The Second Party shall Thereupon Promptly Make Any Necessary Corrections within a Maximum Period of Ninety 90 Calendar Days And upon Completion of Such Corrections The Foregoing Process shall be Repeated Any Amount Which the First Party has Paid or Caused to be Paid in Accordance with this Clause in Excess of the Amounts Actually Payable in Accordance with the Provisions of this Contract shall be Reimbursed by the Second Party to the First Party within Thirty 30 Days after Receipt by the Second Party of Notice Thereof Any Such Claim by the First Party for Reimbursement must be Made within Twelve 12 Calendar Months after Receipt by the First Party of a Final Report and a Final Statement Approved by the First Party in Accordance with the above 6 The First Party may By Written Notice of Suspension to the Second Party Suspend All Payments to the Second Party Hereunder if Second Party Fails to Perform Any of Their Obligations Due to Force Majeure or Other Circumstances beyond the Control of Either Party under this Contract Including the Failure to Carry out the Services Provided that Such Notice of SuspensionA Shall Specify the Nature of the
