2.0. SCOPE:
• A. Review of relevant legislation, policies and related previous reports.
• B. Meet with the key officials to ensure alignment on the project including understanding client’s
challenges, key timelines and critical processes to be rolled out during the process, including
understanding the Board members profiles.
• C. Conduct a top-end tailormade training for the Board of Directors that helps members understand
their mandate, roles, duties and responsibilities as well as prepare them to be able to effectively assess
their performance effectiveness.
• D. Rollout the Board Effectiveness Assessment Services that will enable a holistic evaluation of the
Board and individual members and Board Committees.
• E. The Consultant is expected to offer services in line with the King III, King IV, Organization for Economic
Cooperation and Development (OECD), UK Corporate Governance Code and the Pula Code of Corporate
(the one developed by BAOAAA) Governance requirements and Principles.
3.0. SERVICE DELIVERABLES
• Pre-Assessment Board Training Workshop – On the purpose of the Board evaluation exercise and
what should be expected.
• Fully fledged Assessment of the Board of Directors as a body:
• Fully fledged Assessment of all the main Board Committees, including their members and the
Chair-persons of Committees
• Fully fledged Assessment of the Board Secretarial (Board Secretary) Office:
• Assessment of the individual Directors
