Voluntary pre-transparency: Maintenance and supply of OEM parts for water treatment centrifuges/decanters Alfa Laval on RWZIs Land van Cuijk, Aarle-Rixtel, and s-Hertogenbosch

Tender Summary

The Waterschap Aa en Maas in Netherlands from Europe region has released this tender for By means of this announcement of voluntary prior transparency, Water Authority Aa en Maas wishes to inform market parties of its intention to initiate a negotiated procedure without prior announcement, as referred to in paragraph 2.2.1.7 of the Public Procurement Act 2012. The Contracting Authority intends to conduct this procedure with Alfa Laval Benelux BV (hereinafter Alfa Laval). It follows from the Public Procurement Act that a negotiated procedure without announcement may be applied if the public contract can only be performed by a specific undertaking because 1. Competition is lacking for technical reasons; or 2. Exclusive rights, including intellectual property rights, must be protected and no reasonable alternative or substitute exists. For quite some time, five Alfa Laval dewatering centrifuges/decanters have been installed at the Aarle-Rixtel (2 dewatering centrifuges from 2010), Land van Cuijk (1 dewatering centrifuge from 2010), and s-Hertogenbosch (2 dewatering centrifuges from 2017) wastewater treatment plants of the Aa en Maas Water Board. The dewatering centrifuges/decanters form an essential part of the sludge treatment process at the respective wastewater treatment plants. The operational reliability and availability of these dewatering centrifuges/decanters are critical for the continuity of the treatment processes. Failure or prolonged malfunctions can lead to disruption of operations. These dewatering centrifuges/decanters have not yet reached the end of their technical lifespan. The Water Board therefore wishes to keep these dewatering centrifuges/decanters operational for the coming years. This aligns with the Water Boards circular and sustainable ambitions. To ensure the continued safe, reliable, and efficient operation of the dewatering centrifuges/decanters, preventive and corrective maintenance is necessary, as well as the replacement of parts. Furthermore, periodic maintenance by Alfa Laval is important for maintaining warranties on repaired parts. Original parts supplied by Alfa Laval itself are used for maintenance. For critical components of the dewatering centrifuges/decanters, the use of original parts from the Original Equipment Manufacturer (Alfa Laval) is necessary to guarantee the functionality, safety, and availability of the dewatering centrifuges/decanters. Additionally, Alfa Laval possesses the product-specific technical knowledge, original drawings, and parameters necessary for the correct execution of maintenance and overhaul work. Intervention by third parties on these critical components poses risks to the reliability, safety, and availability of the dewatering centrifuges/decanters. Furthermore, the dewatering centrifuges/decanters are equipped with the 2Touch software platform developed by Alfa Laval.that is necessary for the functioning of these dewatering centrifuges/decanters. This software was developed by Alfa Laval, falls under its intellectual property rights, and can only be maintained, configured, and updated by Alfa Laval. Access to this software is necessary to perform fault analyses, software updates, configuration changes, and optimizations. Third parties do not possess these rights and access capabilities. In connection with the specific Alfa Laval software required to operate the dewatering centrifuges/decanters, exclusive rights, including intellectual property rights, apply in this case and must be protected, and there is no reasonable alternative or substitute. At the same time, this also results in a lack of competition for technical reasons. Due to the critical function of the dewatering centrifuges/decanters within the purification process, rapid response in the event of malfunctions is necessary. Under a maintenance contract, Alfa Laval can provide on-site support within 24 hours and possesses the necessary stock and availability of critical spare parts. This rapid response time and immediate availability of parts are essential to ensure the operational reliability of the dewatering centrifuges/decanters. Due to this interconnected combination of OEM parts, product-specific knowledge, intellectual property rights to the 2Touch software, warranty requirements, and the need for rapid availability of maintenance and spare parts, competition is lacking for technical reasons. There is no reasonable alternative or substitute that can guarantee the same level of operational reliability, availability, and functionality of the dewatering centrifuges/decanters. Waterschap Aa en Maas therefore wishes to outsource the maintenance of the dewatering centrifuges/decanters and the supply of the necessary OEM parts to Alfa Laval. For this reason, the water authority intends to apply a negotiated procedure without prior announcement as referred to in paragraph 2.2.1.7 of the Public Procurement Act 2012. Duration The initial duration of the agreement will run up to and including 31 December 2027. The contracting authority reserves the right to extend the agreements for the maintenance of dewatering centrifuges/decanters and the supply of OEM parts at the three mentioned WWTPs by one year at a time during the lifespan of the dewatering centrifuges/decanters, up to and including 31 December 2035. The contracting authority is entitled to exercise the extension option separately for each WWTP and each dewatering centrifuge/decanter, without this creating an obligation to extend the agreement for the other WWTPs or dewatering centrifuges/decanters.falls under its intellectual property rights and can only be maintained, configured, and updated by Alfa Laval.
