The CZERNICHÓW MUNICIPALITY in Poland from Europe region had released this tender for 1. The subject of the contract is the performance of a service entitled: Granting and servicing a long-term loan in the amount of PLN 11,300,000. The loan will be used in its entirety to finance the planned deficit of the Czernichów Municipality and repayment of previously incurred liabilities. 2. Detailed scope of the contract: 1) long-term loan; 2) loan amount: PLN 11,300,000.00 (in words: eleven million three hundred thousand zloty); 3) the loan will be disbursed in tranches to the Municipality’s basic account. The amount and date of fund transfer will be agreed with the Contractor on a case-by-case basis; 4) full disbursement of the loan will be made by December 30, 2026 at the latest; 5) repayment of the principal will be made in accordance with the repayment schedule contained in Appendix No. 1a to the Technical Specifications; repayment of the first principal installment will be made on June 30, 2027; The last installment will be repaid on June 30, 2045; 6) The Ordering Party reserves the right not to collect the full amount of the loan. In such a case, the bank will not charge the Ordering Party for the costs of the uncollected loan; 7) early repayment of the loan (before the agreed date) is possible without incurring additional costs and without the need to notify the Contractor (Bank) of this fact; 8) variable interest rate: WIBOR 3M plus a fixed bank margin; 9) interest will be accrued for the actual number of days the loan is used, assuming a 365/366-day year; 10) interest will be accrued at the end of each quarter, payable upon receipt of an interest note (bank statement) from the Bank, by the 10th day of each month following the end of the quarter; 11) the last installment, including interest, is payable on June 30, 2045; 12) the loan will be secured by a blank promissory note with a promissory note declaration. The promissory note will be signed by the person authorized to make declarations of intent on behalf of the Czernichów Municipality and will not be countersigned by the Municipal Treasurer. The bill of exchange declaration will be countersigned by the Treasurer of the Czernichów Commune; 13) In the event of the elimination of the 3M WIBOR rate, it will be replaced, by mutual agreement of the parties in the form of an annex to the agreement, with a rate that replaces the 3M WIBOR rate, or with a rate that is closest in size and nature to the 3M WIBOR rate, at no cost to the Ordering Party. The Ordering Party and the selected contractor will agree on the content of emergency provisions concerning the cessation of publication of the 3M WIBOR rate, which will be incorporated into the loan agreement; 14) the interest rate cannot be lower than the bank's margin, and cannot be lower than zero, which in practice means that if the 3M WIBOR base rate reaches a level below zero, the 3M WIBOR base rate of zero (0.00%) will be used to calculate the interest rate. This provision will be agreed upon between the parties in the agreement; 15) the installment amounts may be changed depending on the calculated individual debt repayment ratio, in accordance with Article 243 of the Public Finance Act.
