The reagents must be free from physical and legal defects and have all relevant certificates and attestations confirming the approval of the delivered product for marketing in the territory of the Republic of Poland. 3) The scope of the order includes: delivery of reagents, their transport, unloading, and carrying them to the destination. 4) A detailed description of the subject of the order is provided in Appendix No. 2 to the ToR; 5) The subject of the order, specified in Appendix No. 2 to the Technical Specifications, was prepared based on an analysis of deliveries completed over the last 24 months as part of dozens of ongoing research programs, the continuation of which requires the use of reagents from the same manufacturer. However, an analysis of deliveries completed in previous years indicates that predictability (repeatability in quantity and assortment) is approximately 50%. This is often the case, as reagents need to be changed during the research. Considering the above, the Ordering Party reserves the right to change the quantity of the subject of the order specified in terms of the type (assortment) listed in Appendix No. 2 to the Technical Specifications, as well as to limit the subject of the order due to needs that the Ordering Party is unable to precisely predict at the stage of the ongoing procedure. Furthermore, under the contract, the Ordering Party will be able to purchase reagents from the same category other than those specified in Appendix No. 2 to the Technical Specifications, provided that the total value of the ordered reagents does not exceed the contract value determined on the basis of the accepted most advantageous offer. 6) The basis for determining the price of reagents not included in Appendix No. 2 to the Technical Specifications will be the net prices of products available in the Contractor’s product range and price catalogue (price list) valid on the date of placing the order by the Ordering Party, specified in PLN, taking into account the offered discount from the net catalogue prices; 7) The Contractor is obliged (in the case of products not listed in the price form) to provide a link to the reagents’ website (online) where the current Contractor’s product range and price catalogue (price list) valid during the period of contract execution is available, and if the website so requires - also the login and password.The Contractor will immediately inform the Ordering Party via email of any changes to the catalog and price promotions; 8) In the case of a promotional price (special offer for reagents), the basis for determining the price will be the promotional (special) price, provided it is more favorable than the catalog price, taking into account the declared discount. Promotional (special) offers will also apply to the reagents listed in Appendix 2 to the ToR; 9) The Contractor will perform the Subject Matter of the Agreement in accordance with the Ordering Party's current needs for a period of 24 months from the date of conclusion of the agreement or until the Agreement value is exhausted, if the Agreement value is exhausted before the 24-month period elapses. 10) The Subject Matter of the Agreement will be performed in batches - based on orders specifying the type and quantity of reagents within a given batch. 11) Delivery deadline for the ordered batch of reagents: - maximum delivery deadline: up to 42 days from the date of the Ordering Party's order. The Contractor may shorten the delivery deadline compared to the required deadline indicated above. A bid that shortens the delivery period will receive points during the bid evaluation using the most advantageous bid selection criterion. - in the case of chemical reagents requiring appropriate permits, i.e. narcotic substances, substances of strategic significance, substances that deplete the ozone layer, etc. – the Contractor shall deliver and unload within no more than 28 days from the date of delivery of the aforementioned permits to the Contractor. The Ordering Party reserves the right to execute a given order after the expiry of the Agreement term referred to in point 9 above, provided that the Ordering Party sends the order within the Agreement term. In such a case, the Contractor is obligated to execute the order and is not entitled to any claims in this respect. 12) Delivery address: University of Silesia in Katowice, ul.
