Tender for a framework agreement for the provision of legal services in connection with corporate projects

The Finansministeriet in Denmark from Europe region has released this tender for The purpose of the tender is to establish a framework agreement for the provision of legal services in connection with the states corporate projects. Corporate projects are understood to mean corporate law, transactional and/or ownership-related tasks and related projects concerning companies, partnerships and public enterprises, including investments, purchase and sale of companies (M&A), capital increases and generally advice and assistance in the states management of ownership in existing companies, partnerships and public enterprises with a state ownership or interest share as well as potentially future new companies, partnerships and public enterprises with a state ownership or interest share. This includes both minority and majority-owned companies, state interests and listed companies. The framework agreement shall ensure access to legal advice and assistance within the following areas of law in connection with a Company Project: Primary areas of law: 1) company law and corporate governance, 2) M&A, transactions and due diligence, 3) capital relations and financing, 4) competition and merger control law, 5) capital market law and stock exchange law, 6) contract law and commercial agreements, 7) insolvency, reconstruction and distressed companies, Secondary areas of law: 8) state aid law, 9) tax, VAT and duties, 10) disputes, liability and conflict resolution, 11) FDI screening 12) Executive salary packages, including incentive schemes. The framework agreement is awarded to up to 3 suppliers, and the award of specific advisory tasks is made by mini-tender. A framework agreement is concluded with each supplier. In addition to the Ministry of Finance, the framework agreements can also be used by other entities in the Danish state. In this context, the Danish state includes ministries, agencies, directorates, councils and boards. The framework agreements are non-exclusive. The customer is not obliged to exclusively use the framework agreements entered into and is thus, among other things, entitled to use the Chamber of Attorneys Agreement and to be responsible for the performance of the services themselves.
